SEC Proposes Amendments to Expand Retailization of Private Markets
Thursday, October 29, 2026 · first reported by Foley & Lardner LLP via JD Supra and 1 other
On Sept. 30, the SEC proposed two sets of rule amendments meant to widen retail investor access to alternative assets and private fund strategies. One set would substantially change Rule 23c-3 under the Investment Company Act of 1940, which governs interval funds, a type of registered closed-end fund.
The other package would widen who can qualify as an accredited investor and as a qualified client. It adds a FINRA-developed accredited investor exam and further professional credentials, which could enlarge the pool of people eligible for private offerings and for vehicles that charge performance-based compensation.
