A take-private is when an investor buys all of a listed company's shares and delists it. Shareholders usually receive a premium.
What the film says
In private equity, a listed company can disappear from the market. It's called a take-private. Say a company's shares trade at forty dollars. A firm offers fifty dollars a share. That's a twenty-five percent premium. If shareholders accept, the shares are delisted. The company is now privately owned. So why do investors care? Shareholders usually get paid above the market price. And there's no more public share price to check. The company stays. The ticker goes.
