Key terms

The glossary
Feeder fund
A feeder fund pools investors’ money and invests it all into a larger master fund, often so investors with different tax or legal needs can share one portfolio.
Accredited investor
An accredited investor is a person or institution that meets SEC income or net worth tests, or holds certain professional licenses, and so may invest in private offerings.
Side pocket
A side pocket separates hard-to-value or illiquid assets from the rest of a fund, typically a hedge fund, so redemptions do not force a sale of them.
Equalization
In a private fund, equalization is the true-up for investors joining at a later close: they pay as if they had joined at the first, plus interest.
Form PF
Form PF is a confidential report that private fund advisers registered with the SEC file on their funds’ size, borrowing, investors and performance, to help regulators monitor risk.
NAV
Net asset value, or NAV, is a fund’s assets minus its liabilities. In private funds it is usually reported quarterly and rests on the manager’s valuations.
Separately managed account
A separately managed account is an arrangement where a manager invests one investor’s money alone, to terms that investor negotiates, instead of in a pooled fund.
Management fee
The management fee is the annual charge investors pay a manager to run a fund, often 1% to 2% of committed capital during the investment period.
